These Terms & Conditions govern your engagement with SiteJupiter for all digital services, website development, custom software engineering, e-commerce solutions, and digital consulting. By initiating a project, accepting a proposal, or submitting an initial payment, you agree to comply with these terms.
1 Acceptance of Terms & Legal Capacity
Welcome to SiteJupiter ("we," "us," or "our"). SiteJupiter is a verified MSME registered digital agency operating under Government of India registration UDYAM-WB-20-0008871 and a Trademark Registered brand.
By commissioning our services, submitting inquiries through our contact forms, accepting a project quotation or agreement, interacting with the SiteJupiter Client Portal, or submitting an advance payment, you ("Client," "Customer," or "User") represent that you are at least 18 years of age and possess full legal capacity to enter into this legally binding contract. You agree to be bound by these Terms and Conditions along with our associated Refund Policy and Privacy Policy.
Electronic communications, digital milestone authorizations, and electronic signatures executed through the SiteJupiter Client Portal or registered email are legally valid and enforceable under the Information Technology Act, 2000 (India) and applicable electronic transaction laws.
2 Scope of Services & Exclusions
SiteJupiter provides professional web development, UI/UX interface design, custom programming, e-commerce storefronts, SaaS application engineering, API integration, and ongoing website maintenance across six core service packages:
- Business Websites: Modern 5-7 page responsive corporate websites with WhatsApp integration, contact forms, Google Maps, and fast loading performance.
- WordPress Websites: Dynamic CMS implementations featuring custom themes, plugin architecture, blog publishing systems, admin dashboard setup, and security hardening.
- E-commerce Websites: Online storefronts featuring product catalogs, shopping carts, wishlist flows, secure domestic and international payment gateway integrations (Razorpay, UPI, Stripe, PayPal), and order management.
- Custom Websites: Bespoke, hand-coded web architecture built with clean semantic code, tailored database structures, and custom PHP CMS administration.
- Web Applications: Full-stack web applications and SaaS platforms featuring user authentication, role-based access controls (RBAC), interactive user dashboards, and RESTful/GraphQL APIs.
- Enterprise & Custom Solutions: High-concurrency enterprise portals, multi-tier booking engines, and custom software architectures based on tailored technical roadmaps.
Unless expressly itemized in your written Project Agreement or quotation, standard service packages do not include: domain registration/renewal fees, recurring cloud/server hosting subscription costs, third-party commercial plugin/theme licenses, paid third-party API quotas (e.g. Google Maps API billing, SMS gateways, OpenAI API credits), bespoke copywriting/content drafting, or custom commercial photography. While SiteJupiter provides full setup and configuration assistance, external recurring vendor fees remain the direct responsibility of the Client.
3 25% Advance Deposit & Phased Payment Milestones
To maintain strict scheduling, reserve dedicated senior technical developers, and allocate server architecture, all projects are governed by our structured phased milestone framework:
Before starting any work on a project, the client must pay an advance deposit of 25% of the total project quotation.
This 25% deposit covers initial technical resource reservation, architecture planning, UX/UI wireframing, and code scaffolding. It is strictly non-refundable once project work has commenced.
The remaining final settlement (75% balance) is due upon project completion and staging review, prior to official source code delivery, administrative credentials transfer, and live production server deployment.
4 5-Day Staging Review Window & Revision Policy
We are dedicated to ensuring your complete satisfaction through a structured, transparent review process:
- Private Staging Environment: Upon completing the initial build, SiteJupiter deploys the deliverable to a private staging URL for your inspection across all target devices.
- 5 Business Days Review Window: The Client is granted a review period of five (5) Business Days to evaluate the deliverable against the agreed specifications and submit a consolidated list of feedback or reproducible defects.
- Mandatory Pre-Approval Window: All included styling tweaks, layout adjustments, copy placement refinements, and bug fixes must be requested and resolved prior to issuing final project approval.
- Deemed Acceptance: If no written list of defects is received within five (5) Business Days, or if the Client deploys the deliverables to a live production environment or publicly utilizes them, the project shall be deemed fully accepted.
5 Change Orders, Scope Expansion & Extra Charges Policy
The agreed project quotation strictly covers the deliverables and specifications expressly defined in the initial project agreement. Any request for new features, structural additions, new page templates, custom database schemas, external API integrations, or modifications to previously approved milestones constitutes an Out-of-Scope Amendment governed by our Change Order Policy:
- Mandatory Extra Charges Assessment: All out-of-scope feature expansions will incur mandatory additional fees calculated based on engineering complexity, technical feasibility, and required development hours.
- Formal Digital Addendum: SiteJupiter will issue a formal digital Change Order addendum specifying the detailed technical scope, itemized supplementary fees, and estimated timeline impact. Work on out-of-scope additions will not commence until the addendum is authorized by the Client.
- Day-for-Day Timeline Adjustment: Execution of a Change Order automatically extends the estimated delivery schedule day-for-day without penalty or breach liability on SiteJupiter.
- Client Deferral: If the Client declines the quoted fees for a proposed Change Order, SiteJupiter shall complete the deliverable in accordance with the original agreed specifications.
6 Project Handover, 100% Payment & Zero Refund Post-Delivery
When development reaches completion and all pre-approval staging revisions are resolved:
- The Client provides formal written or digital project approval.
- The Client completes 100% total payment settlement.
- SiteJupiter carries out the complete project handover, transferring full custom source code, database files, live production server deployments, and administrative credentials.
Once the project has been approved, 100% total payment cleared, and source code, production deployment, or credentials have been handed over to the Client, NO REFUND IS APPLICABLE UNDER ANY CIRCUMSTANCES. Digital source code, administrative credentials, and software assets are non-returnable once delivered.
7 30-Day Post-Launch Technical Warranty
To give you complete peace of mind, SiteJupiter provides a complimentary thirty (30) day technical warranty following project handover:
- Coverage Scope: Rapid diagnostic and bug-fixing support for genuine, reproducible software defects, broken links, or visual rendering bugs arising directly from SiteJupiter's original code.
- Warranty Exclusions: Does not cover new feature additions, layout redesigns, server hosting outages, third-party vendor downtime, or external API deprecations.
- Unauthorized Modifications Void Warranty: Any unauthorized code modifications, script injections, database tampering, or direct plugin overrides performed by the Client or third-party developers immediately void the warranty on affected components.
Post-warranty technical maintenance and continuous security monitoring are available via separate monthly or quarterly maintenance retainer agreements.
8 Intellectual Property, Pre-Existing Code & Portfolio Rights
Our intellectual property rights framework is structured as follows:
- 100% Custom Deliverables Assignment: Upon receipt of 100% full payment settlement, all custom project-specific design assets, graphical illustrations, database structures, and custom source code developed exclusively for the Client transfer unconditionally to the Client.
- Agency Pre-Existing IP: SiteJupiter retains full ownership of its pre-existing core frameworks, reusable developer libraries, boilerplate modules, utility algorithms, and proprietary scaffolding tools utilized in delivering the services.
- Open-Source & Third-Party Components: Open-source libraries and third-party software remain governed by their respective open-source licenses (e.g., MIT, GPL, Apache).
- Portfolio Showcase Rights: Subject to mutual confidentiality agreements, SiteJupiter retains the non-exclusive right to showcase completed non-confidential project visuals, URL previews, and public case studies in its marketing portfolio.
9 Independent Contractor Status & 0% Revenue Share
SiteJupiter operates solely as an independent technology and design contractor on a fixed project-fee basis.
SiteJupiter claims no equity, royalties, commission, or revenue share from the Client's business earnings, transactions, or digital platform revenues. 100% of all commercial profits, business turnover, and sales generated through the website or application remain the exclusive property of the Client.
10 Client Obligations, Asset Licensing & Backups
To ensure smooth execution and adherence to delivery timelines, the Client agrees to:
- Asset & Access Provision: Provide all required brand logos, text copy, images, server/domain credentials, and third-party API keys in a timely manner. Delays in asset supply automatically extend project timelines day-for-day.
- Content Ownership & Indemnity: Warrant that all materials, images, fonts, and trademarks supplied to SiteJupiter are owned by the Client or properly licensed. The Client agrees to defend, indemnify, and hold harmless SiteJupiter against any third-party copyright or trademark infringement claims arising from Client-supplied assets.
- Post-Handover Data & Backups: Maintain independent backups of production databases and files post-handover, unless ongoing automated backup management is contracted under a separate maintenance retainer.
- Credential Confidentiality: Safeguard administrative credentials and production server access keys transferred to the Client upon handover.
11 Performance & Search Engine Disclaimers
SiteJupiter adheres strictly to modern web engineering best practices, semantic HTML5 structure, Core Web Vitals optimization, mobile responsiveness, and foundational on-page SEO.
However, SiteJupiter does not warrant or guarantee specific commercial sales volumes, revenue increases, conversion rates, or third-party search engine ranking positions (e.g. Google ranking positions), as indexing algorithms, market competition, keyword dynamics, and external algorithmic updates remain entirely outside agency control.
12 Limitation of Liability & Force Majeure
To the maximum extent permitted by applicable law, in no event shall SiteJupiter, its proprietors, developers, or contractors be liable to the Client or any third party for any indirect, incidental, consequential, special, or punitive damages (including loss of business profits, lost revenue, lost data, business interruption, or security incidents post-handover) arising out of the project or digital services provided.
In all circumstances, SiteJupiter's total aggregate liability for any claims arising out of or related to our engagement is strictly capped at the actual amount paid by the Client to SiteJupiter for the specific service in dispute.
Neither party shall be held liable for delays or performance failures caused by events beyond reasonable control (Force Majeure), including natural disasters, internet backbone outages, power failures, cyberattacks on global infrastructure, or government restrictions.
13 Project Inactivity, Termination & Survival
Either party may terminate a project engagement upon written notice. In the event of termination, SiteJupiter shall be entitled to compensation for all engineering hours and completed milestones up to the date of notice.
- 30-Day Client Inactivity Policy: If a project is delayed due to Client unresponsiveness, lack of feedback, or absence of required assets for more than thirty (30) consecutive calendar days without prior written notice, SiteJupiter reserves the right to place the project on administrative hold. The 25% deposit is non-refundable to cover reserved capacity. Project re-activation may require a reactivation fee based on prevailing scheduling availability.
- Survival of Key Provisions: Clauses relating to payment obligations, intellectual property limitations, confidentiality, warranty disclaimers, liability caps, and dispute resolution shall survive any project termination.
14 Governing Law, Dispute Resolution & 15-Day Negotiation
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India.
The parties agree to attempt good-faith informal negotiation for at least fifteen (15) business days prior to initiating formal legal proceedings. If an amicable resolution is not reached, any legal disputes arising in connection with our services shall be subject to the exclusive jurisdiction of the competent courts in West Bengal, India.
